Keeping things clear from the start.

These terms explain how projects with XPY Creative work, what you can expect from me and what I need from you. They’re here to keep things straightforward for everyone involved.

THE AGREEMENT

The practical stuff.

1. About XPY Creative

XPY Creative is an independent creative and digital studio based in Cornwall, UK, operated by Jack Clinton.

Services may include web design and development, branding and visual design, film and video production, photography, content creation, social media support, digital marketing, search optimisation and related creative or digital services.

These terms apply to work carried out by XPY Creative unless different terms are agreed in writing for a particular project.


2. Starting a project

A project normally begins with a discussion about what you need, followed by a written proposal, quotation, scope of work or other written confirmation of the agreed work.

A project is considered agreed when you approve the proposal or scope in writing and, where required, the initial payment has been received.

Email approval is considered written approval.


3. Scope of work

The agreed quotation or proposal will set out what is included in the project. Anything outside that scope may be quoted separately.

Projects naturally evolve, so reasonable discussion and refinement is expected. However, significant additions, changes of direction or additional work may affect the price and timescale. I’ll let you know before carrying out work that would create a significant additional charge.


4. Fees and payment

Project fees and payment stages will be confirmed in the relevant quotation or proposal.

Unless otherwise agreed, deposits and payments already made cover time reserved and work carried out and may not be refundable once work has begun.

Invoices must be paid within the payment period stated on the invoice. XPY Creative may pause work or withhold final deliverables where an invoice becomes overdue.

Any third-party costs such as hosting, domain registration, software, licences, advertising spend, printing, travel or specialist services will only be included where stated in the quotation or otherwise agreed.


5. Timelines

Any project dates or delivery estimates are based on the information available when the project is agreed.

I’ll make reasonable efforts to meet agreed timescales, but projects can be affected by feedback, approvals, changes to the scope, availability of materials, third-party services or circumstances outside my reasonable control.

If something materially affects the schedule, I’ll communicate that with you rather than disappearing into the Cornish mist.


6. What I need from you

To keep a project moving, you agree to provide information, content, access, feedback and approvals reasonably required to complete the work.

You are responsible for ensuring that materials you supply — including text, photographs, logos, video, trademarks and other assets — can legally be used for the project.

Delays in providing information, feedback or approvals may move the project schedule.


7. Feedback and revisions

Reasonable revisions are part of the creative process and will be handled in accordance with the agreed project scope.

Where revisions substantially change an approved direction, introduce new requirements or extend beyond the agreed scope, additional work may be charged separately. This will be discussed before that additional work is undertaken.


8. Websites and digital projects

Websites are developed for current mainstream browsers, devices and technologies at the time of development. It is not possible to guarantee permanent compatibility with every future browser, device, operating system, plugin or third-party service.

Where a website relies on WordPress, plugins, hosting providers, APIs, booking systems, payment processors, social networks or other third-party platforms, those services remain subject to their own availability, terms and technical changes.

Unless ongoing maintenance or support has been specifically agreed, responsibility for the website after handover or launch passes to the client.


9. Hosting, domains and third-party services

Where XPY Creative helps arrange hosting, domains, software, advertising accounts or other third-party services, those services may be provided under separate terms by the relevant provider.

XPY Creative cannot guarantee the uninterrupted availability or continued functionality of services operated by third parties.


10. Content, film and photography

For production work, the agreed scope may cover planning, filming or photography, editing and specified final deliverables.

Unless otherwise agreed, raw footage, unedited photographs, project files and working files are not automatically included in the final deliverables.

Where shoots depend on locations, contributors, weather, access or other circumstances outside reasonable control, schedules may need to change.


11. Intellectual property

Once the agreed project fees have been paid in full, the client may use the final approved work for the purposes agreed for the project, subject to any third-party licences or separately agreed restrictions.

XPY Creative retains ownership of its underlying methods, processes, know-how, development tools, reusable code, working files and other pre-existing materials unless specifically agreed otherwise in writing.

Third-party assets such as fonts, stock imagery, software, plugins, music or other licensed materials remain subject to the licence terms of their respective owners.


12. Portfolio use

Unless confidentiality has been agreed in advance, XPY Creative may display completed work as part of its portfolio, website, social media, showreel, case studies and other promotional material.

If a project needs to remain confidential or cannot be shown publicly, tell me before the project begins and we can agree that separately.


13. Cancellation and paused projects

If you decide to cancel or indefinitely pause a project after work has started, payment may still be due for work already completed, time committed and any non-refundable costs incurred.

If a project remains inactive because required information, feedback or approval has not been supplied, XPY Creative may reschedule the remaining work according to current availability.


14. Liability

XPY Creative will provide services with reasonable care and skill.

To the fullest extent permitted by law, XPY Creative will not be responsible for indirect or consequential losses, loss of profits, loss of business, loss of data or losses caused by third-party platforms, services or circumstances outside reasonable control.

Nothing in these terms excludes or limits liability where doing so would be unlawful.


15. Confidentiality

Information shared in confidence during a project will be treated appropriately and will not knowingly be disclosed to third parties except where necessary to carry out the work, where permission has been given or where disclosure is required by law.


16. Ending an agreement

Either party may end an ongoing arrangement by giving reasonable written notice, subject to any specific cancellation terms agreed for that project.

Any fees properly due for work already completed, committed costs or services supplied up to the termination date remain payable.


17. Governing law

These terms are governed by the laws of England and Wales. Any dispute will be subject to the jurisdiction of the courts of England and Wales.


18. Questions

If anything in these terms is unclear, just ask. The intention is for both sides to understand what has been agreed before work begins.
